Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Poser8 LLC ("Company," "we," "us," or "our") concerning your access to and use of the Education Division website and services. By accessing our website or registering for workshops, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use our services.

Definitions

• "Services" means the Education Division website, workshop registrations, training materials, and related services
• "Workshop" means any training session, course, or educational program offered by Education Division
• "Participant" means any individual registered for a Workshop
• "Materials" means any content, documentation, code samples, or resources provided as part of a Workshop

Workshop Registration and Payment

Registration

To register for a Workshop, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Pay the applicable Workshop fees
• Accept these Terms

Payment Terms

• Workshop fees must be paid in full at the time of registration unless otherwise arranged
• All fees are in U.S. Dollars unless otherwise specified
• Payment methods accepted include major credit cards and wire transfer (for corporate clients)
• You are responsible for all taxes, duties, and fees associated with your purchase

Corporate/Group Registration

Organizations registering multiple participants may be eligible for group discounts. Custom payment terms (e.g., purchase orders, net-30 invoicing) are available for corporate clients. Contact us at training@posereight.com for arrangements.

Cancellation and Refund Policy

Participant-Initiated Cancellations

• 14+ days before Workshop: Full refund (100%)
• 7-13 days before Workshop: 50% refund
• Less than 7 days before Workshop: No refund, but you may transfer your registration to a future session of the same workshop (subject to availability and price difference)
• No-shows: No refund and no transfer

Company-Initiated Cancellations

We reserve the right to cancel or reschedule a Workshop due to insufficient enrollment, instructor unavailability, or force majeure. In such cases:

• Participants will receive full refund OR
• Option to transfer to an alternative Workshop date
• We are not liable for any incidental expenses (travel, accommodation, etc.)

Refund Processing

Approved refunds will be processed within 10 business days to the original payment method.

Workshop Attendance and Conduct

Attendance Requirements

• Participants must attend the entire Workshop to receive a certificate of completion
• Virtual workshops require active participation (camera on during introductions and discussions)
• Late arrivals may be denied entry to maintain class quality

Code of Conduct

Participants must:

• Treat instructors and fellow participants with respect
• Refrain from disruptive behavior
• Not record (audio or video) sessions without explicit written permission
• Comply with all technical prerequisites and setup requirements

Removal from Workshop

We reserve the right to remove any participant who violates the Code of Conduct or engages in inappropriate behavior. No refund will be provided in such cases.

Intellectual Property Rights

Our Content

All content, including but not limited to text, graphics, logos, images, videos, code samples, and documentation (collectively "Content"), is the property of Poser8 LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

License to Materials

Participants are granted a limited, non-exclusive, non-transferable license to use Workshop Materials solely for personal educational purposes. You may NOT:

• Redistribute, sell, or commercially exploit Materials
• Modify Materials and distribute them as your own
• Use Materials to deliver competing training programs
• Share access credentials or Materials with non-participants

Code Samples

Code samples provided during Workshops are offered under an MIT License unless otherwise specified, allowing you to use, modify, and incorporate them into your projects. Attribution is appreciated but not required for code samples.

Trademarks

"Education Division" and associated logos are trademarks of Poser8 LLC. You may not use our trademarks without prior written permission.

User Accounts and Security

If you create an account on our platform:

• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized access
• We may suspend or terminate accounts that violate these Terms

Third-Party Services and Links

Our Services may contain links to third-party websites or integrate with third-party services (e.g., payment processors, video platforms). We are not responsible for:

• The content or practices of third-party sites
• Third-party terms of service or privacy policies
• Any loss or damage caused by third-party services

Your use of third-party services is at your own risk and subject to their terms.

Disclaimers and Limitations of Liability

No Warranty

OUR SERVICES AND WORKSHOPS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy or completeness of content
• Uninterrupted or error-free operation
• Achievement of specific learning outcomes or career advancement

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSER8 LLC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Costs of procurement of substitute services
• Any damages exceeding the amount you paid for the Workshop

This limitation applies regardless of the legal theory (contract, tort, negligence, etc.) and even if we have been advised of the possibility of such damages.

Technical Difficulties

We are not liable for technical issues outside our control, including but not limited to internet outages, hardware failures, or third-party platform downtime. We will make reasonable efforts to reschedule or provide alternative access in such cases.

Indemnification

You agree to indemnify, defend, and hold harmless Poser8 LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your use of our Services
• Your violation of any third-party rights
• Any content you submit or transmit through our Services

Privacy

Your use of our Services is also governed by our Privacy Policy. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page with an updated "Last Updated" date. Material changes will be communicated via email to registered users.

Your continued use of our Services after changes constitute acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of our Services.

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Requests from law enforcement
• Discontinuation of Services

Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination (including indemnification, disclaimers, and limitations of liability) will survive.

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or our Services shall be resolved through:

1. Informal Negotiation: Contact us at legal@posereight.com to attempt resolution
2. Mediation: If informal negotiation fails, disputes shall be submitted to mediation before a mutually agreed mediator
3. Binding Arbitration: If mediation fails, disputes shall be resolved by binding arbitration in Salt Lake City, Utah, under the rules of the American Arbitration Association

Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions or collective proceedings.

Jurisdiction

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Salt Lake City, Utah.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Poser8 LLC regarding our Services and supersede all prior agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, labor disputes, or government actions.
